I'm pretty sure you can do all of that with Powerpoint, and you can probably do it with OpenOffice.org's free alternative "Impress" too.

I haven't tried that specific conversion with it, but MediaCoder might be able to do it. Not the most intuitive, but I've seen a lot worse. It's it's done some conversions that others have failed at.
