A) A good story
B) Good acting
C) Good direction
D) Pretty visuals
E) The right tone/pacing (i.e. funny at the right parts, intense at the right parts, etc.)
F) All of the above coming together to make an entertaining movie that you want to see again.
And obviously personal preference will separate some from others, but that only matters so much. I think if people could be a little more objective we'd agree a lot more on which movies are "good." There are tons of "good" movies I don't like, and probably even more "bad" movies that I do like, but that says little about their quality.
For example, some people will tell you Titanic is a bad movie. They're wrong, it's not a bad movie, they just don't like it. I don't like it either, I don't own it, and I'll probably never sit through all four hours of it again, but I can still look at it objectively and recognize that it's a good, well-made movie.
