Obviously Marvel and Disney want the deal to happen. It was Sony who walked away from the deal.
Sony want to sign off on casting that involve SM and supporting characters that would appear in a SM movie - What's wrong with that?
Sony want to sign off on decisions that involve Spider-Man - What's wrong with that?

Don't forget that Marvel have exec producers on Spider-Man movies and they (Sony) can't proceed unless Marvel sign off on them (like Spider-Man killing). If Marvel made good casting choices, made a kick arse costume and the script was strong, Sony would sign off on it. Why wouldn't they?
Marvel doesn't have execs anymore, their was a deal made several years ago that gave sony marvels small box office share- possibly explaining the post SM2 decline in quality.
