Now that it's clearer, the swirling above Hulk's head is more noticeable. I assume it's supposed to be a wormhole for Thor's arrival but it could also be.....??? Thanos or Skrulls reference?

Possibly. Might just be the artist jazzing up the background a bit though.

Interesting. It's slightly different from the poster. Mostly noticeable in the sky background -- there's more lightning on the poster. Yet on this version, we see more of Thor's knee beneath Iron Man's right hand. A little more of the Hulk's torso is visible above Thor's cape, too.

I'm wondering, whether Cap holds his shield from WWII times (but as we know, from movie stills & trailers, it's been kinda damaged) or it's the brand new shield from Stark's lab?

Yup, I think the artist has made this the same way I do the more complicated manips, making full individual pictures of each character seperate from the background so they can all be moved about easily to suit different formats. Makes sense as this will likely be used on different kinds of packaging for toys and the like.

I'm wondering, whether Cap holds his shield from WWII times (but as we know, from movie stills & trailers, it's been kinda damaged) or it's the brand new shield from Stark's lab?

I'm hoping he has the same shield from WW2, and the damage we see in the Cap stuff is just to the paintwork. Would not like the idea of the shield being something they can remake. Hopefully in Cap they will explain how that one is a fluke of some kind. Still based on the Howark Stark model we know Tony has a stripped down version of, but genuinely indestructible.

Damaged? Nahh, maybe the paint gets damaged, but it can always be repainted
