Julien and Jeanne phoned with the counter, which they say is Drew's closing proposal. If you recall they said the same on writing and refused to take anything less than the $2M v. $4M, so I'm inclined to believe them:

This counter is subject to their resolving their Marvel issues, which they haven't yet successfully managed, but they have another call with Marvel scheduled for Thursday.

$3M directing fee, with $1.5M of it advanced upon signing, on a non-refundable basis.
$250K @ $500M wwbo, plus $250K at each additional $25M wwbo, with no cap.
Drew is pay-and-play -- customary parameters that he can be replaced after a certain number of weeks, but he has the right to render services during photography through at least that period.

Julien provided the following context for the counter:

Drew is tied to this take/version of the movie on a pay-and-play basis, as stated above. This “version” means the pitch that we’re all preceding upon – e.g., Spidey shows up midway through and is a significant character in the movie versus just making a cameo-type of appearance. If so, then Drew is committing to make this his next picture (with a 3rd quarter 2014 start of prep), but the $1.5M advance is his insulation from factors outside of his control (e.g., Garfield deciding that he doesn't want to do this or not be in the movie as much, etc.).
If we do decide to shelve this version of the movie or want to go in a different direction later on, Drew would have the right to either step off the project, or elect to continue, but in the case of his continuing, he’d expect that we would negotiate a different deal to reflect the adjusted timing and concept.
Other things (such as his family moving with him to location, personnel approvals, cuts/previews, etc.) can be worked out later, if we can get over these items.

As opposed to just having to fight someone/thing that's gonna destroy the world. The power of spiderman is that it's always more emotional and personal...BUT by making him the author of his own problems, we also make our world seem very small. And rather than painting spidey as a pure hero, he sometimes comes off as his own worst enemy...

Thanks for the heads-up. I hope that’s not problematic. As I recall, once the Daredevil rights revert to Marvel (which I’m pretty sure they have), we now both have the option to “share” Kingpin, using him in certain specified ways that avoid our stepping on each other’s toes. Does that sound right and still work for us?

Dear Rachel,

We recently announced a deal with Netflix whereby we are producing and distributing a Daredevil live action show on their platform. Please consider this email notice that we intend to use Wilson Fisk, aka the Kingpin, Vanessa (his wife), and other Kingpin Characters and elements in that show. The characters are anticipated to first appear on or about January 15, 2015 and the Kingpin related IP will also appear in subsequent episodes. There are currently thirteen episodes ordered.

Ahh, so they do want him for the two infinity war flicks.. interesting that they cant do something on the side. Thats what ive been more worried about. I guess Marvel has control of how they will go about making the stand-alones. What is with them and the Sinister Six though??!

Will you drop the idea of S6, already?! Build up the character of Spider-Man FIRST and THEN see what opportunities present themselves.

I'm more interested in Shadowland that's obviously where Defenders is headed and Spider-Man was apart of that.

Sony was smart with that idea. And Sinister Six works if they use MCU Kingpin

On the other thing also (sm mcu related)

Subject: On the other thing also

51. Do we want them to co partner or produce ss or girl movie or any other movie
52. Should we give them a one pic Id we do it at all cuz if they just own it forever they will behave worse then if it's just one movie
53. Can we do a sm movie that would be as good or better than theirs
54. Xmen works why can't this
55. Are we just to disadvantaged with just Spider-Man's world when everyone else has a multitude of characters and comic books that inter act with each other
56. What kind is producing der would we pay them
57. Should we allow them to put am in other marvel movies
58. Does this just let the cat out of the bag
59. Could we co produce any other marvel movie or characters in exchange for this
60. How is it gonna feel when they go to comicon
61. How can we handle the press so it's good for us
I don't know the spin on this
62. What do we hunk out time table might be with drew pitching us and their casting needs
63. Is it just cap? Cap and one SPIDERMAN movie? Cap and ss and we ask them to help us with that
64. How can they guarantee us bo numbers when we are paying for the movie have approvals marketing and distributing ? It sounds insane
65. First he said one billion but that's not what the piece of paper said and if we did 850
We would make 160 anyway without his guarantee
66. Where did he get the 65 number from for our last movie
67. Where does the number of 275 come from is that what their movies really cost
68. What would the above the back ends on the movie be maybe barely anything at all
69. The offer of no producer fee seems to have disappeared
70. Do we have an obligation to all the producers writers and film makers we are working with?
71. How do we find out what the Russos are doing
72. Make the Russo deal immediately
73.if we do this we are gonna have to really talk about our going forward strategy ....
74. Sandler is at netflicks I think will is gona do sucide squad at WARNERS so that is gonnna feel weird
If spidey is gone too
And the few filmmakers we have focused on
Rian johnson belongs to star wars and Neal bloomcamp really belongs to Modi
and Roland is gonna do Id 4 and chris and Phil will never commit to us and Seth and evam made the deal with joe drake David Ayer is gone to WARNERS this is really a conversation we need to have
Big time
We gotta sign chris and Phil and the Russos
And I don't wanna lose drew cuz I think he is amazing even if this is a nutty situation
And maybe we can land chris nolan given josh and Jeff
But boy we really need to think about all this
I love our raid guy
But really who else are we gonna own cuz I think we better get serious

We gotta have a new big time strategy

We should really focus on this this week

I was planning to answer to these questions. But then I realized, what is the point? Marvel needs to watch this situation closely, because it's clear to me that these people DON'T KNOW what they are doing with this superhero films. I would trust pretty much ANYONE here doing a better job than them when it comes to superhero films. They think they know what they are talking about, they think their "focus groups" and what the "millennials say" talk makes them "educated" about Spider-Man and superhero movies but... it doesn't.

Here is the thing Sony, do you know why Spider-Man can't work without the larger Marvel Cinematic Universe? Marvel changed the game. This is about universes been created now, and regardless how much do you try to push Sinister Six and Venom, you people can't even make decent Spider-Man films because you people aren't simply cut out for this.

This isn't your thing. Superhero movies aren't your turf, Amy Pascal, Tom Rothman and whoever Sony clueless executive ends up reading this. You should just step away from WHATEVER Marvel is doing and let them run the show, not for one or two films, but forever. You think that you have a leverage on this, you think that you can negotiate and make Kevin Feige Spider-Man's "babysitter" to "Amy Pascal's baby, but you can't. First of all, as long as you people see Spider-Man as "Amy Pascal's baby" you are all screwed, because she clearly isn't a good fit to oversee a superhero film. Your problem is that you have an insanely huge IP at the wrong hands, and people stubborn to realize that since Marvel changed the game, the best you can do is join them and just do whatever they tell you to, no questions asked. Just stop trying Sony, you don't belong in this superhero franchise thing, focus on other stuff and let Marvel run this show.

Even though Kingpin is more known as a Daredevil villain, the character was introduced in Spider-Man. So I think Sony have to give permission for the character to be used by Marvel. Not 100% certain, though.

I'm going to defend Sony a little. Back in the day, they were trend setters and they paved the way for the superhero explosion. The problem is others took the baton and ran with it. The likes of Nolan and Marvel studios took the genre to another level. So instead of trying to innovate and become trend setters again they simply peddled out their once mega success formula. Sony's problem is they failed to move with the times and got left behind.

All Sony have to do was take the underlining structure of SSM and put it on the big screen. They instead went back to the well.

I'm fairly certain that if Sony wanted to use Kingpin in a Spider-Man live action movie they could.

Goddard wants to talk Spidey at his Daredevil office with Amy

Re:
Whoops sorry — just saw this. It’s much more about "What’s the movie?" than “When?" at this point. As soon as we get a handle on 3, my hope is it will give us a little guidance on what SS wants to be. And the good news about my commitments is, to some extent, I have the freedom to do what I want. So once we have a good bead on what the movie is, we can lock in a timetable pretty easily.

I’m really feeling that for a SS movie to work without Spidey in it, we need a movie star in the lead role. (I’m not sure I could convince him to do it, but someone like Matt Damon as Dock Ock?)
