If they are really going for MJ over Felicia then:
IMO, she should be an incredibly wild and free-spirited extrovert. The yang to Gwen's ying. Someone who, unlike Gwen, is from 'wrong side of the tracks' and appears to be the complete opposite of the type of 'sensible' and 'responsible' girl that one would expect a guy like Peter Parker to end up with. However, like Peter she had experienced a lot hardship and tragedy and that is what pulls them closer together. They become support for one another.
With regards to Spidey's battles, they should just leave her out of them completely in TASM3. The female lead doesn't need to get conveniently wrapped up in the final battle of every Spider-man film.
Also give her a great sense of humor. Like she could give Spidey a run for his money in the wisecracking department.
