Ultimus vs. Maxam:
As usual, here are the bios:
Ultimus:
Powers: Superhuman strenght, speed, stamina, agility and reflexes, metahuman durability, besides the ability to manipulate cosmic energy
Also, the bio from the Official Marvel Handbook Master Edition on Ultimus:
"Ultimus has the ability to manipulate cosmic energy to augment his life force, granting him great longevity and regenerative abilities, the projection of cosmic energy as concussive bolts from his hands, the ability to project an invisible force field about his body varying from a radius of one-inch to several yards, the ability to fly by harnessing anti-gravitons, and possibly other powers."
Also, under Strength, it says he has "Superhuman Class 90" powers, under Speed and Stamina both say "Superhuman," and under Durability it says "Metahuman."
Maxam:
Maxam can grow in size and strength up to Class 100, at which point he is virtually indestructible. He is immune to telepathic assault.
In his normal state he is a mediocre warrior, though he can be pushed into a savage, frenzied state in which he is virtually unstoppable. He also has knowledge of sophisticated technology.
He had rocket units on his boots that allowed him to fly.
He briefly held the Time Gem, which unlocked his memories. Presumably if he'd held it longer he could have eventually accessed its full powers.
The main thing for the voters to realize is that Maxam does not have the Time Gem. So, since he does not have full access to his memories, he's greatly hindered in this match. He won't have any information on Ultimus and when the match starts, he won't be at his full peak power. He starts at a more normal rate, and as a fight goes on, he gets stronger.
Now, there are some things that Ultimus will realize. As the match starts, he'll use his cosmic energy to destroy the rocket units in Maxam's boots. This will ensure that Maxam cannot fly, giving the air advantage to Ultimus. Ultimus will realize after the fight begins that Maxam seems to be getting stronger; thus, he'll change his approach. Some important factors about Maxam are listed below:
*Maxam's skin is not impenetrable. In Warlock and the Infinity Watch #19, Iron Man was able to prick his skin in order to draw blood.
*In Warlock and the Infinity Watch #27, he was trapped under a large rock.
*In Warlock and the Infinity Watch #42, Maxam had steel girders wrapped around him, trapping him and making it unable for him to fight.
From the above information, Ultimus can easily use his powers (and, he'd probably use it real early on) to bring down a building on Maxam; thus, effectively trapping him, making it unable for him to fight. Finally, while Maxam's skin can be pricked, I want to reiterate that Ultimus has a one-inch invisible force field, making much of what Maxam could do to him ineffective.
Winner = Ultimus
