Yeah, it's awfully tough getting that toothpaste back into the tube. I suppose FOX could shop its entertainment assets to the "A" squad - Amazon, Alphabet, and Apple - in order to start a bidding war. But a good chunk of this deal will be in stock and Disney's ability to monetize franchises have paid off handsomely for George Lucas, Ike Perlmutter and the Jobs family. Some version of the reported deal seems inevitable.

But even if it a Disney-FOX deal doesn't get done, from what we've heard FOX is fully committed to spinning off its entertainment assets. There's an excellent chance the Mouse would be able to snag Marvel and Star Wars rights even if the rest of the assets ended up with a third party.
 
The more analysts pick up on this story and run with it the better. If they aint talking right now hopefully they soon will be.

Yeah, with everybody saying “this makes sense for both sides”, both sides will have to answer to shareholders if it doesn’t happen.

They are. The whole "talks broke down" thing is really another way of saying Fox wasn't happy with Disney's offer price.
 
I would like to remind people. Fox announces Q1 2018 earnings tomorrow. Disney announces Q4 2017 and FY 2017 earnings on Thursday. They will get a LOT of questions and pressure from analysts on this. They might even forget to mention ESPN to Iger lol

So.. will Disney make Alien profitable again?

Probably. And Independence Day. And Die Hard. And Predators. And Apes. And Home Alone. All those franchises will be mined and rebooted into new movies or TV shows. In the case of Apes, probably continue the franchise.

Die Hard will be like Indiana Jones, a new entry where the baton is passed from Bruce Willis. No way that franchise ends.

I'm hoping for 1/2 at the most is stocks. Ideally 1/3 cash, 1/3 loan, 1/3 stock. The less stock Disney gives out, the better.

As I understand it the existing licences are not transferable? So If Fox sold off their studios to someone other than Disney the rights would revert back to Marvel regardless. In a sale to any other 3rd party, '20th Century Fox' would cease to exist as the company Marvel originally dealt with and holds the contracts with. In theory...

I'm not sure on this point at all btw, so I stand to be corrected if anyone knows better.

Spiderman's contract says that Sony can sell the license to another company and the rights are transferable. I have no reason to believe the same wouldn't be true for Fox's licensed properties.

I believe Marvel has to be there when it comes to these deals I mean Avi Arad was working at Marvel when the rights were signed off to Sony right?

It's why Sony can't just sell off the rights to Warner Bros or something.

I've read the contract. Sony can sell to WB or another major studio if they want to, and Marvel can't do anything about it. It's explicitly called out in the contract. I believe that's what Constantin probably did (i.e. sold the FF rights to Fox).

Actually Constatinin is associated with Fox not a straight up sale I heard the rights are still with Fox.

Can I see the contract I'd like to read it myself

Back when Fox was talking about buying Time Warner, I remember discussing this, but that was very different because then Fox would own a direct superhero competitor. In that case, Marvel could make the argument "You can no longer be a trusted steward of our license if you own DC."

But if someone else bought the movie studio and continued to run it but under new ownership, I think the new owner would still have rights to the license. I'm nearly certain Fox couldn't sell the license to a third party (we know that when the license was transferred from Constantin to Fox, Marvel was involved in that process), but if their whole operation is sold, I believe it's most likely the agreement would continue unchanged under new ownership.
 
The SEC has been pretty consisitent in cases where a merger or takeover presented a conflict of interest in IP accross two companies. They have allowed those sales to go through provided any conflicting IP that would present an unfair competitive advantage have to be run as separate entities.

So Sony could sell to WB, but you would never see Spider-man appear in Justice League. Warner would also have to honor any current arrangements with Spider-man in the MCU and the deal with Marvel getting all the profits from merchandising.

The SEC and regulatory agencies are very much about keeping the status quo, and avoiding potential conflicts.

But the fact that the Marvel/Fox film rights are in debate, makes Disney the best potential suitor. If Fox sold off to Warner, there would be regulatory obstacles because of those contracts that they would have to agree to.

The path of least resistance is to sell it off to Disney.

Are you talking about ABC? Don't Disney own ABC?
 
My money goes the other way, on who leaked, and why. I think this is the Mouse pressuring Fox to free up those items (SW/Marvel Char Blocks) that they want, knowing that there is not a better option for those sets of rights. I also think the Mouse leaked to make a powerplay for the whole shebang, save the broadcast and possibly print and some other small parts of Fox that regulatory oversight would nix anyway, forcing Fox to take some early steps towards spinning those out separately, or to hold onto.

This all could be from both, saying "let's see what the heck the regulatory issues raised just by us talking would crop up, so we can address them, and be able to move forward with what we can, or set up a third party that would not trigger them to take the parts that would be in contention."

In the end, I think we win. I ache for the day when we can make a motion to close this thread, and start a real, honest, and hopeful for the future of a MCU First Family thread. But, that day is not yet here. So, for now....

I hold onto hope, dragging her out of Pandora's box, and embrace her firmly, telling her she can be free of me once I have my FF home.

The X-Men have hit a wall at Fox anyway, other than Deadpool. X-Men and mutants would be a lot better in Marvel's hands.

I've gotten to this point as well. Seeing Cyclops in the MCU would be a dream come true for me
 
Didn't Jackman say he'd come back for one more go if it was in an Avengers movie? That would be pretty sweet.

I read it was actually Constantin Films who have the rights and Fox made movies for them?
Could CF simply take it to some other studio if Fox ends up under Disney umbrella?

They maybe could but good luck who the hell is going to pick up the Fantastic Four anymore apart from Marvel
