It's already lunch time here. I feel like I've gotten nothing done this morning. Then after lunch it will be time for the live stream. I wonder if someone's going to record it and put it up on YouTube for everyone to watch. Or will that get taken down because of some copyright violation?

Dark Phoenix being absent from comic con is quite curious your approaching that six month release window. We should be getting a teaser soon. But zilch.

They didn't show anything or even talk about it because its' gonna get delayed and repackaged as original content for Disney streaming.

My job is only 3 blocks from the hotel where the shareholders have all gathered to vote

It’s pretty cool to be so close to history

You should go on an early lunch break and gate crash the event!

Interesting reading. I didn't know that a new company will be formed to contain Disney and Fox (New Disney) and subsidiary of Fox to contain the assets not acquired by Disney (New Fox)

In connection with the proposed transaction between The Walt Disney Company (“Disney”) and Twenty-First Century Fox, Inc. (“21CF”), which will be effected through the formation of a new holding company that will become the parent of both Disney and 21CF and is referred to as New Disney, TWDC Holdco 613 Corp. (“New Disney”) will file with the Securities and Exchange Commission (the “SEC”) a registration statement on Form S-4 that will include a joint proxy statement of Disney and 21CF that also constitutes a prospectus of New Disney, which will replace the definitive joint proxy statement/prospectus which Disney and 21CF previously filed with the SEC on May 24, 2018 and mailed to their respective stockholders on or about June 1, 2018. 21CF will file with the SEC a registration statement for a newly formed subsidiary (“New Fox”), which is contemplated to own certain assets and businesses of 21CF not being acquired by Disney in connection with the proposed transaction. 21CF, Disney and New Disney may also file other documents with the SEC regarding the proposed transaction.

Welcome!! Great time to join too! ;)[/QUOTE]

The combined Disney and Fox will become New Disney

I'm probably not going to be able to listen in. If anybody is actually listening in, let us know what you hear.

The vote results will probably be very boring, but I'm hoping we'll get some information regarding an anticipated time-frame for closing.

Yeah, what would keep them from transferring Marvel properties under Marvel Studios with immediate effects?

I should be asleep. But dont want to miss anything.

There's not really a 'transfer' required. The licensing agreement that currently exists would simply be shredded by the new company.

The only thing preventing Marvel/Disney from using FF or X-Men characters is the possibility that Fox would sue them for violating the licensing agreement.

That agreement will basically cease to exist upon closing.

For the guys who have been here since the early 2000s this must be a surreal moment.

It's basically a question of when does New Disney officially take effect.

Then the contract is rendered void the moment it closes. Does that mean Fox loses the right to make Marvel films immediately?

If disney dropped sky would they need as much international regulation? Could dropping it speed up the process?

I joined in Feb. 2003 with one single thing in mind - anticipation of a good FF movie.

After 15 years of disappointment after disappointment, we're finally almost there.:jd:

We don't know when the deal officially closes at this point. But once Disney has all the FOX assets, then effectively Disney has all the say at that point.

I hope the meeting isn't too long. At most 30 minutes. A whole hour would be pushing it.

It's going to go relatively quick. Most of it is proxy, and from reports so far, all of the big shareholders have already approved the deal.
