Comcast has officially bid. Now we'll see what Disney's response will be

It says "Should the board decide Comcast has the better deal, Disney would have five days to come up with a counter."

But if Disney do come up with a counter, then who is to say that Comcast won't still come up with another counter? When does Fox stop accepting offers?

And why should it be 5 days?

Disney and Fox were already fairly deep into their deal when Comcast tried to undercut them (ie now). Who is to say that Comcast can't go further with Fox and then Disney can come and undermine the whole thing again?

Comcast is also offering to pay the 1.525B termination fee + 2.5B breakup fee if it's blocked by regulators for a total 4.025B on top of the 65B offered to 21CF.

I'm guessing that Disney will counter with $52.4 billion in stock + $15 billion cash.

Have you ever sold a house? A bidding war for it is a dream come true for the seller, and 5 business days to respond to the other party's bid is pretty standard. "When does it stop?" is up to the seller, but extending the process 5 business days after each bid is standard.
 
My heart is saying "You can beat that, Bobby!" But my brain is saying "Let it go and hope Kabletown ends up in a cash crunch (like Sony) and you can pick up assets on the cheap.

The fact that Comcast would be paying the breakup fee means the possibility of negotiations involving rights reversion is off the table. I am disappoint!

Yup. Pretty much all hope is lost now. Unless some sacrifice, ala Rogue One, isn't made

But since Comcast are still swooping in long after 5 days from the original deal, then couldn't Disney still do the same?

Because even if Fox agree to sell to Comcast, the sale won't go through straight away. It would still take time like it has with Disney. If the sale were that quick, then Disney would already have owned Fox by now.
 
No....Comcast can realistically take this up to 85B+. Whether it's smart for them to do so is a different story.
And Disney can easily match it if they WANT to. I have a feeling that Iger is gonna give it his all. This is the last major deal of his run and he gave up the Presidential run for this deal. Disney can't back down Now! If its you a fight you want, Comcast....
 
Wow, this turned ugly in a hurry. So close yet so far away. Oh well, they gave it a shot and I won't blame them if they don't take it any further. Comcast will take it to extremes it appears, I don't think Iger will be too reckless.

I'm not as convinced. Iger's transformational deals involving Pixar, Marvel, Lucasfilm and Bamtech totaled $18B. Is there any chance a $65B or higher bid for Old Fox would have anywhere near the impact those deals have had (Bam Tech's is TBD) since 2006?

There's some great stuff in Old Fox - I'm personally a fan of the Marvel live action rights! - but there's a lot of dreck and overlap. Cable channels in a skinny bundle era, a second TV studio at a time when Amazon, Netflix and Apple are outbidding everyone for production talent, a TV satellite service in a mature market that needs an expensive technology upgrade, and a second film studio with a lot of "non-Disney" content in its library.

I selfishly want the deal to go through, but I wouldn't be mad at Iger if he decided to walk away. And if he does walk away, we can safely assume that the last 6 plus month due diligence period played a role in his ultimate valuation of these assets.

I think 65B (+ debt) for Fox is already overpaying. 50B + debt sounds about right. If Comcast takes it up to 85B + debt, then Iger and Disney better walk away. Can't even blame them if they chose to walk away now.

This deal is very important to him and Disney..And they can't just allow Comcast to pull the rug from under their feet. Disney will match their bid

Maybe it's all a conspiracy by Trump. Get Iger out of the way of being a potential challenger for the next election by having him go after Fox. Then once he's given up the presidential run, undercut him with Comcast so that even Fox is taken away from him, leaving him with nothing.

I still think there is a decent shot here, but I don't see Iger getting to the point of desperation that he becomes reckless. I'm sure he's got a few tricks up his sleeve for a counter, but if Comcast is willing to bid 85+ billion then he better pull more then just a rabbit out of his hat.

I'm trying not to be either, Willie! This thing has gone so far- gotten so much traction- that I'm just not sure if I can see Comcast's version of "the snap". Keep hope alive!
 
Dollar, is that bid worth the tax hit? or do you see something to gain.

That's what Tony Stark would do. If Comcast were to buy Fox, Stark would've bought Comcast. Just because.
